CONSTITUTION
OF THE
ZINKWAZI CONSERVANCY
1. NAME
The name of the Conservancy shall be THE ZINKWAZI CONSERVANCY.
2. OBJECTS
a) To generate interest and active participation by land owners and Zinkwazi residents in Wildlife Conservation.
b) The protection, regulation and improvement of wildlife.
c) To ultimately improve and protect the Ecology within the conservancy boundaries.
d) To promote environmental awareness.
e) To ensure sustainable use of natural resources.
3. MEMBERSHIP
a) Membership shall be open to all landowners, farmers and ratepayers within the conservancy boundaries.
b) The membership of the Conservancy shall consist of: Honorary members, Life members and Ordinary members.
c) Applications for membership shall be by means of written application to be formally proposed and seconded by members in good standing and shall be determined by the Committee whose decision shall be final.
d) Membership subscriptions shall be as laid down by the Annual General Meeting.
e) Membership shall lapse or be terminated if any amount owing to the Conservancy shall not be paid within ninety (90) days of a registered letter being addressed to any member demanding payment of the amount due or upon the majority’Resolution of a Geneial Meeting of the Conservancy.
4. MANAGEMENT
a) The entire management of the Conservancy shall be vested in an elected and nominated committee. Committee members shall hold office for two years. Elections to be held at the Annual General Meeting with half the Committee standing down each year.
The Committee shall consist of the following elected and nominated members:
3 Members elected by fanners.
2 Nominated by Nkwazi Transitional Local Council
1 Member from KZN Conservation Services
1 Lower Tugela Conservation committee member
1 Warden for each conservancy ward
1 Darnall Environment Committee member
b) The Officers of the Conservancy shall consist of a Chairman, Vice-Chairman, Secretary and Treasurer and Committee members. Office bearers to be elected by committee . members.
c) The Committee shall make such rules as are necessary for the efficient running of the Conservancy, and shall have all such powers and be entitled to do all such things as may be necessary to give effect to the objectives of the Conservancy.
5. FINANCE
a) The Conservancy fmancial year shall end on 31 March.
b) The Treasurer shall deposit all monies with an approved banking organisation.
c) The Conservancy accounts shall be audited annually by an appointed auditor.
6. MEETINGS
a) ANNUAL GENERAL MEETING
i) The AGM shall be held annually not later than 31 May.
ii) Members shall be given 14 days notice of meeting, together with notice of
the Agenda and proposals for consideration thereof.
iii) The business of the AGM shall be:
- To receive the Chairman’s annual report;
- To receive the Annual Financial Report;
- To elect office bearers, and
- To conduct general business.
iv) A quorum shall comprise of 10 members.
b) SPECIAL GENERAL MEETING
i) A Special General Meeting may be called either by the Committee, or upon receipt of a written request signed by not less than 4 members.
ii) members shall be given 14 days notice of meeting, and shall be fully advised of the Agenda and purpose of the meeting
iii) A quorum shall comprise of 10 members.
c) COMMfITEE MEETING
i) Committee meetings shall be held as and when deemed necessary.
ii) Members shall be given 7 days notice of meeting.
d) VOTING
i) Only paid-up members present shall vote.
ii) At any meeting the Chairman shall have both an ordinary vote and a casting
vote.
e) DEFERMENT
In the event of there not being a quorum present at a given meeting, that meeting shall be deferred for a period of 7 days. The number of members present at the reconvened meeting shall constitute a quorum.
f) PROPOSALS
A member wishing to propose an amendment to the constitution, shall give written notice thereof to the Secretary one month prior to the Annual or Special General Meeting.
7. LEGAL
The Conservancy shall sue and be sued in the name of THE ZINKW AZI CONSERVANCY.
8. DISSOLUTION
In the event of the dissolution of the Conservancy, its property and funds shall be disposed of and may be determined by a Special General Meeting called for that purpose.

e) Paid-up members shall receive a copy of the Constitution and Rules.
